Rules on the purchase and sale of goods
1. General provisions
1.1 These Terms and Conditions of Purchase and Sale (hereinafter referred to as the "Terms and Conditions") are a legally binding document which sets out the rights, obligations and responsibilities between the person purchasing goods (hereinafter referred to as the "Buyer") using the electronic shop www.yosmile.lt of Kordentis UAB, company code 305569364 (hereinafter referred to as the "Seller"), and the Seller, in connection with the purchase of the goods in the E-shop (hereinafter referred to as the "Goods") by the Buyer.
1.2 The Buyer, when placing an order with the Seller, shall be obliged to familiarize himself with these Terms and Conditions, and shall confirm that he has done so when he provides the necessary data for the conclusion of a sales contract and for the delivery of the order.
1.3 The Seller reserves the right to amend, modify or supplement these Conditions at any time. The Buyer shall be informed of any changes to the Terms and Conditions on the website of the e-shop.
2. Conclusion of the Purchase and Sale Agreement
2.1 The Purchase and Sale Agreement between the Buyer and the Seller shall be deemed to have been concluded from the moment when the Buyer forms an order in the E-shop, provides the data necessary for the conclusion of the Purchase and Sale Agreement, the delivery of the order, and clicks on the "Order" link.
2.2 All sales contracts concluded with the Customer are stored in the E-Shop.
2.3 The place of conclusion of the Purchase and Sale Agreement shall be deemed to be the Republic of Lithuania.
2.4 The range of Goods, their quantity, price and other terms and conditions specified in the Buyer's order shall become a binding and inseparable part of the Purchase and Sale Agreement from the moment of the confirmation of acceptance of the order being sent to the Buyer at the e-mail address indicated by him.
3. Prices of the Goods
3.1 The Seller has the right to change the prices of the Goods sold in the E-Shop at any time.
3.2 The prices in the E-Shop are inclusive of VAT.
3.3 The price of the Goods does not include delivery costs, which are calculated at the time of ordering and are added to the final order price.
3.4 The price of the Goods, which the Buyer undertakes to pay to the Seller, is the price indicated in the Buyer's shopping cart at the time of placing the order.
3.5 Title to the Goods shall pass to the Buyer on the date of payment in full.
4. Buyer's rights
4.1 Payment for the Goods purchased in the E-Store may be made in the following optional (alternative) ways:
4.1.1. payment can be made using Swedbank, Seb, Luminor, Citadele, Šiaulių bankas, Revolut e-banking services. Payments can be made in Euro currency. Payments are processed using the MakeCommerce.lt payment platform.

4.2 Unpaid or unconfirmed orders will be removed from the E-shop system after 1 day.
5. Product data
5.1. The details of the Goods sold in the E-shop shall be specified in the description of the Goods attached to each Good.
5.2 The Seller shall not be liable for the fact that the Goods in the E-shop may not correspond to the actual size, shape and colour of the Goods due to the characteristics of the display device used by the Customer.
6. Buyer's rights and obligations
6.1 The Buyer shall have the right to purchase the Goods in the E-Shop in accordance with the procedure set out in these Terms and Conditions and other information provided (published) by the E-Shop.
6.2 The Buyer undertakes to accept the ordered Goods and to pay the agreed price for them.
6.3 In case of any discrepancies regarding the Goods received or in case of any other questions, the Buyer undertakes to immediately inform the Seller by e-mail: grazinimai@yosmile.lt or by phone: +37060412757.
6.4 In the event of any change in the data provided by the Buyer in the registration form, the Buyer shall update it immediately.
6.5 By purchasing the Goods, the Buyer understands that the shade of the Goods/package may differ from the shade shown in the picture.
6.6 By confirming an order, the Buyer confirms that all the information provided in his/her order is accurate and correct.
6.7 By ordering goods through the E-shop, the Customer accepts these Terms and Conditions and undertakes to comply with them.
6.8 The Buyer shall have the right to refuse to accept from the Seller only those Goods or part of Goods which are of poor quality or do not conform to the Buyer's order.
6.9 The Buyer undertakes to check the quality of the Goods and the conformity of the Goods with the order at the time of delivery of the Goods to the Buyer. If the Buyer accepts the Goods and does not note any defects in the Goods on the invoice or other document evidencing the transfer of the Goods, the Goods shall be deemed to be in conformity with the usual quality requirements for such Goods and with the Buyer's order.
7. Seller's rights and obligations
7.1 The Seller undertakes to provide all reasonably practicable conditions for the Buyer to make proper use of the E-Shop Services.
7.2 If the Buyer attempts to undermine the stability and security of the E-Shop or violates his/her obligations, the Seller shall have the right to restrict or suspend the Buyer's access to the E-Shop or, in exceptional cases, to cancel the Buyer's registration, immediately and without notice.
7.3 The Seller undertakes to respect the Buyer's right to privacy with regard to the personal information belonging to the Buyer, as indicated in the E-Shop registration form, and to process it in accordance with the legislation governing the protection of personal data.
7.4 The Seller undertakes to deliver the Goods ordered by the Buyer to the address specified by the Buyer and in accordance with the Goods Delivery Rules.
8. Liability of the Buyer and the Seller
8.1 The Buyer is fully responsible for the accuracy of the personal data provided by the Buyer. If the Buyer fails to provide accurate personal data in the registration form, the Seller shall not be liable for the consequences thereof and shall be entitled to claim direct damages from the Buyer.
8.2 The Buyer shall be liable for the actions carried out using this E-Shop.
8.3 Once registered, the Buyer is liable for the transmission of his/her login data to third parties. If a third party uses the services provided by the E-Shop by logging into the E-Shop using the Buyer's login data, the Seller shall consider this person as the Buyer.
8.4 If the E-shop contains links to the electronic websites of other companies, institutions, organisations or persons, the Seller is not responsible for the information contained therein or the activities carried out therein, and does not supervise or control these websites.
8.5 In the event of damage, the Seller and the Buyer shall indemnify each other only for direct damages caused by their fault (e.g. the Seller shall indemnify the Buyer for direct damages caused by the Seller's fault). The amount of damages to which the Seller is liable shall be limited to the price of the Goods ordered by the Buyer.
8.6 The Seller shall not be liable for any disruptions in the operation of the E-shop caused by failures in systems, communication networks, stations belonging to third parties, or by disruptions in the provision of third-party services that the E-shop uses.
9. Delivery procedure
9.1 The Goods will be delivered to the specified address or post office within 2-5 days of receipt of payment as a standard. During promotions and holidays, delivery of orders may take up to 14 days.
9.2 When ordering goods, the Buyer may choose one of the delivery methods listed in the Seller's specific offer for the goods:
9.2.1 Delivery to the nearest LP express, Omniva, DPD post office, home delivery. Delivery prices will be quoted at the time of checkout.
9.3 The Buyer undertakes to specify the exact place of delivery.
9.4 The Buyer undertakes to accept the goods himself. A valid proof of identity (ID card, passport or new driving licence) must be presented at the time of collection. If the Buyer does not collect the goods himself although the goods have been delivered to the address indicated by the Buyer, the Seller shall be entitled to hand over the goods to another person at the address indicated by the Buyer, and the Buyer shall not be entitled to make any claim against the Seller in respect of the delivery of the goods to the wrong person.
9.5 The ordered goods must be collected from the post office no later than 3 (three) working days after the courier has informed the Buyer by e-mail or SMS that the goods are available for collection.
9.6 The Seller shall be exempt from liability for breach of delivery deadlines if the goods are not delivered to the Buyer or are not delivered on time due to the fault of third parties unrelated and/or independent of the Seller, or due to circumstances beyond the Buyer's control.
9.7 If the Buyer fails to collect the Goods from the Post Office within the time limit (Clause 9.5) or fails to deliver them to the Buyer and the Buyer has paid for the Goods and their delivery, the Representatives shall contact the Buyer to arrange an alternative time and/or method of delivery. If the Buyer still does not collect the Goods or fails to deliver them, such Goods shall be returned to the Seller, the order shall be cancelled and the Buyer shall be refunded the money paid for the Goods, less any bank charges applicable to the Seller for the bank transfers made and the delivery charge, if applicable.
10. Returns and cancellation of the transaction
10.1 In accordance with the "Rules for the Return and Exchange of Goods" approved by the Minister of the Economy by Order No. 217 of 29 June 2001 (Official Gazette of the Republic of Lithuania, 2001, No. 58-2105), quality goods purchased online may be returned within 14 (fourteen) days from the date of delivery to the Buyer. The cost of returning the goods shall be borne by the buyer.
10.2 The following conditions must be complied with when returning goods:
10.2.1 the returned goods must be in their original packaging in good condition;
10.2.2 the goods must be undamaged/unused by the buyer;
10.2.3 the goods must be in good condition (labels intact and protective film not removed, etc.);
10.2.4 the returned goods must be in the same condition as when received by the buyer, including any additional gifts received;
10.2.5 when returning the goods, the proof of purchase or the order number must be provided;
10.2.6 if the above conditions are met, you should complete a Returns Application Form and send it to grazinimai@yosmile.lt.
10.3 Refunds shall be made using the same means of payment used by the Customer to make the transaction.
10.4 Upon receipt of your request, we will contact you within 2 working days to arrange the details of the return.
10.5 Once we have received the item, assessed the quality of the item for suitability and are satisfied that it is unused, we will refund your money within 5 working days.
11. Intellectual property protection
11.1 The names of goods or legal entities appearing on the E-Shop may be trademarks, in which case intellectual property rights in them shall be protected in accordance with the statutory provisions.
11.2 The contents of the E-Shop are the property of the Seller or the suppliers of the goods and are protected by law. It is forbidden to copy or use all or part of the information contained in the E-Shop without the written consent of the Seller.
12. Protection of personal data
12.1 The Seller undertakes to manage and process the Buyers' personal data in strict compliance with the Law on Legal Protection of Personal Data of the Republic of Lithuania, the General Data Protection Regulation of the European Union and other legal acts.
12.2 By placing an order with the Seller, the Buyer expresses his/her consent to the processing of his/her personal data.
12.3 By ordering the Goods and providing the Seller with his/her personal data, the Buyer agrees to the provisions of the Seller's privacy policy, except for the processing of personal data for which the Buyer's separate consent is required. 13. Dispute resolution
All disputes arising out of or in connection with the sale and purchase agreement between the Buyer and the Seller shall be settled by negotiation. The Buyer shall have the right to address all disputes and complaints to the Seller at grazinimai@yosmile.lt. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the legislation of the Republic of Lithuania. The Buyer (consumer) shall have the right to withdraw from the contract for the purchase and sale of goods concluded in the online shop with the Seller by notifying the Seller in writing within 7 working days from the date of delivery of the goods. The Buyer shall have the right to withdraw from the contract of sale and purchase of goods with the Seller only if the goods are of good quality, have not been damaged and have not substantially changed their appearance, as well as the goods are not included in the list of non-returnable goods provided by the legislation of the Republic of Lithuania. Information on Electronic Dispute Resolution (EDS): In the event of a problem with a product purchased online, the customer can use the EDS platform to lodge a complaint, which will be handled by an independent dispute resolution body.
14. Final provisions
14.1 The Seller reserves the right to amend, edit, supplement or otherwise modify the Terms and Conditions and any related or derivative documents and/or rules at any time at its sole discretion. The latest version of the Terms and Conditions shall be effective as of the date of its publication in the E-Store. The relationship between the Buyer and the Seller shall be governed by the Terms and Conditions in force at the time of placing the order.
14.2 The relationship between the Buyer and the Seller arising from the purchase of the Goods in the E-Shop and the interpretation of the Terms and Conditions shall be governed by the law of the Republic of Lithuania.
14.3 All disagreements arising between the Buyer and the Seller shall be settled by negotiation, failing which they shall be settled in the courts of the Republic of Lithuania.
14.4. The Buyer may submit requests or complaints regarding the Goods purchased by the Seller in the E-shop on the electronic consumer dispute resolution platform http://ec.europa.eu/odr/.
14.5. Consumer disputes shall be settled out of court by the State Consumer Rights Protection Service, registered office address Vilniaus g. 25, LT-01402 Vilnius, https://vvtat.lt/.

13. Dispute resolution
